Army Universe Terms of Use

These Terms of Use (“Terms”) govern your access to and use of https://armyu.com, any related Army Universe website, account, content, service, communication, and any purchase made directly from Army Universe (collectively, the “Site”). The Site is operated and doing business as Army Universe (“Army Universe,” “we,” “us,” or “our”).

Please read these Terms carefully. By accessing the Site, creating an account, submitting information, or placing an order, you agree to these Terms and to the policies incorporated into them. If you do not agree, do not use the Site or place an order.

IMPORTANT: Section 24 contains a mandatory binding arbitration agreement, class-action waiver, and jury-trial waiver. To the maximum extent permitted by law, disputes must be resolved exclusively through individual arbitration and not in court.

These Terms are intended to apply to every visitor, user, account holder, purchaser, and other person who accesses or interacts with the Site, to the maximum extent permitted by law. Accessing or continuing to use the Site after receiving reasonably conspicuous notice of these Terms constitutes acceptance. When Army Universe presents a checkbox, button, or other mechanism requesting agreement, selecting or activating that mechanism constitutes your electronic signature and affirmative acceptance of these Terms.

1. Eligibility and Authority

You must be at least 18 years old to create an account, place an order, or purchase age-restricted or regulated merchandise. If you use the Site on behalf of a business, agency, organization, or other entity, you represent that you have authority to bind that entity to these Terms.

The Site is intended primarily for adults. A minor may browse the Site only with the involvement and supervision of a parent or legal guardian. Army Universe does not knowingly authorize minors to purchase restricted merchandise.

2. Additional Policies

The following Army Universe policies, as posted on the Site, are incorporated into these Terms:

  • Return, Exchange and Order Policy;
  • Payment Policy;
  • Shipping Policy;
  • Privacy Policy;
  • International Shipping or International Order Policy, if separately posted; and
  • Any product-specific, promotional, wholesale, customization, or marketplace terms displayed before purchase.

If a product page or transaction-specific written agreement contains terms that conflict with these Terms, the more specific terms will control for that product or transaction. Purchases made through Amazon, eBay, Walmart, or another third-party marketplace are also subject to that marketplace’s applicable terms and policies.

3. Accounts and Account Security

You may be required to create an account to use certain Site features. You agree to provide accurate, current, and complete information and to update it when necessary.

You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account. You must promptly notify Army Universe if you suspect unauthorized access, identity misuse, or a security breach involving your account.

Army Universe may require identity, address, payment, age, business, agency, or other verification. We may suspend, restrict, or close an account when information cannot be verified or when we reasonably suspect fraud, unauthorized use, policy abuse, unlawful conduct, or a security risk.

4. Limited Permission to Use the Site

Subject to these Terms, Army Universe grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Site for lawful personal or internal business shopping purposes.

This permission does not transfer ownership of the Site or its content. Army Universe and its licensors retain all rights not expressly granted.

5. Prohibited Conduct

You may not:

  • Use the Site or any product for an unlawful, fraudulent, deceptive, threatening, abusive, or harmful purpose;
  • Misrepresent your identity, age, affiliation, authority, location, intended end use, eligibility, or payment authorization;
  • Attempt to gain unauthorized access to the Site, another account, a server, system, network, or data;
  • Introduce viruses, malware, harmful code, automated attacks, or technology intended to disrupt or damage the Site;
  • Scrape, crawl, harvest, copy, or extract Site content or data through automated means without written authorization;
  • Use bots, scripts, or automated purchasing tools to manipulate inventory, pricing, promotions, accounts, reviews, or transactions;
  • Interfere with Site operations or impose an unreasonable burden on our systems;
  • Circumvent quantity limits, geographic restrictions, access controls, product restrictions, or security measures;
  • Use Site content to build, train, or improve a competing product, service, catalog, database, or commercial system without written permission;
  • Impersonate Army Universe, its personnel, a government agency, military branch, law-enforcement agency, emergency service, or another person or entity;
  • Submit false reviews, false claims, fraudulent chargebacks, or misleading content; or
  • Assist another person in doing any of the foregoing.

6. Product Listings and Information

We attempt to describe and display merchandise accurately. However, photographs, colors, patterns, measurements, specifications, packaging, materials, country of origin, features, availability, and other details may vary because of lighting, screen settings, manufacturing changes, dye lots, supplier updates, or reasonable production tolerances.

Camouflage pattern placement and military-surplus characteristics may vary from the images shown and from one item to another. Military surplus, vintage, previously issued, factory-second, or irregular merchandise may show storage marks, fading, repairs, odors, wear, manufacturing differences, or other characteristics consistent with its disclosed condition.

Size charts and measurements are general guidance and do not guarantee a particular fit. Minor variations that are consistent with the product description or disclosed condition are not necessarily defects.

We may update product information without notice. We will not materially substitute a different product for an ordered product without authorization, except for packaging or nonmaterial manufacturing variations that do not substantially change the product.

7. Prices, Promotions and Errors

Prices, availability, promotions, shipping charges, discounts, and product information are subject to change before an order is accepted. Prices on the Site may differ from prices offered in a physical store, marketplace, catalog, quotation, or other sales channel.

Army Universe may correct typographical, technical, supplier, inventory, calculation, pricing, tax, shipping, discount, or other errors. If an order contains an obvious or material error, we may contact you for approval of corrected terms, cancel the affected item, or cancel and refund the order, even after an order confirmation or payment authorization has been generated.

Promotional codes and discounts may be limited by customer, account, item, brand, quantity, date, or order. They may not be combined unless expressly stated and may be refused or reversed when obtained through misuse, duplication, manipulation, ineligibility, or technical error.

8. Orders and Order Acceptance

Your submission of an order is an offer to purchase. An automated order confirmation acknowledges receipt but does not constitute final acceptance of the order or a guarantee of fulfillment.

Army Universe may accept, decline, limit, hold, or cancel an order or quantity in its reasonable discretion, including because of:

  • Inventory limitations or supplier issues;
  • Pricing, product, discount, shipping, tax, or system errors;
  • Payment failure or inability to verify payment;
  • Suspected fraud, resale activity, policy abuse, or unauthorized purchasing;
  • Age, identity, address, agency, end-use, or legal-compliance concerns;
  • Product, carrier, geographic, export, sanctions, or legal restrictions; or
  • Other circumstances that reasonably prevent safe or lawful fulfillment.

If we cancel a paid order before fulfillment, we will issue an appropriate refund of the canceled amount. Bank, wire, intermediary, currency-conversion, or other third-party charges may remain nonrefundable as described in the Payment Policy.

Bulk, wholesale, case-pack, customized, organizational, uniform, event, and large-quantity orders may require separate written terms and may not qualify for standard consumer return terms.

9. Payments, Verification and Chargebacks

Payments are governed by the Army Universe Payment Policy. You represent that you are authorized to use the selected payment method and authorize Army Universe and its payment providers to charge all amounts associated with the order.

We may request identification, address verification, cardholder authorization, transaction records, or other documentation. Processing or shipment may be delayed until verification is completed.

If you believe there is a billing or order problem, contact us promptly so we have an opportunity to investigate. A return, refund, replacement, or store-credit request may be suspended while a chargeback, payment dispute, fraud review, or related investigation is pending. We will not issue a duplicate refund for an amount already credited, reversed, reimbursed, or disputed.

10. Order Changes and Cancellations

Customer-requested changes and cancellations are governed by the Return, Exchange and Order Policy. Requests are not guaranteed because an order may enter processing immediately.

Army Universe may cancel an order as permitted by these Terms. A customer may not cancel an order merely by refusing delivery, filing a payment dispute, or returning merchandise without authorization.

11. Shipping, Delivery and Returned Packages

Shipping estimates are estimates, not guarantees, unless expressly identified as guaranteed. Delays may result from inventory, verification, customization, weather, carrier operations, labor disruptions, government action, customs, security screening, or other circumstances outside our reasonable control.

You are responsible for providing a complete and accurate delivery address. Refused, undeliverable, unclaimed, or returned-to-sender packages may be subject to the deductions and fees stated in the Return, Exchange and Order Policy.

Claims involving loss, visible damage, missing merchandise, incorrect merchandise, or a package shown as delivered must be reported promptly under the applicable posted policy. Army Universe may require photographs, packaging, identification, a signed statement, carrier documentation, or other information needed to investigate.

Nothing in this section limits rights relating to delayed or unshipped merchandise that cannot legally be waived.

12. Returns, Defects and Manufacturer Warranties

Returns, exchanges, damaged merchandise, defective merchandise, incorrect items, missing items, restocking fees, nonreturnable items, and refunds are governed by the Army Universe Return, Exchange and Order Policy.

Do not use, wash, alter, repair, discard, or return allegedly damaged or defective merchandise before contacting us and receiving instructions.

Some products may include a manufacturer warranty. Unless Army Universe expressly provides a separate written warranty, any manufacturer warranty is provided solely by the manufacturer and is subject to that manufacturer’s terms. We may provide reasonable information to help identify the manufacturer, but we do not control the manufacturer’s warranty decision.

13. Product Safety and Proper Use

You are responsible for reviewing product instructions, warnings, labels, laws, and safety information before use. Products must be used only for lawful, intended purposes and with proper training, care, maintenance, supervision, protective equipment, and precautions.

Army Universe is not responsible for damage caused by misuse, abuse, neglect, improper storage, incorrect installation, unauthorized modification, failure to follow instructions, ordinary wear, use beyond a product’s intended purpose, or unlawful conduct.

Knives, tools, tactical equipment, self-defense products, military-style merchandise, badges, insignia, uniforms, and other products may present inherent risks or be subject to restrictions. Purchasing a product does not establish that it is safe, suitable, or lawful for every person, use, or location.

14. Legal Compliance and Restricted Merchandise

You are responsible for determining whether you may lawfully purchase, possess, receive, transport, carry, wear, display, resell, export, or use a product in your jurisdiction and intended destination.

By purchasing restricted, age-sensitive, law-enforcement-marked, military-marked, self-defense, knife, tool, badge, insignia, uniform, or similar merchandise, you represent that:

  • You meet all applicable age and eligibility requirements;
  • Your purchase, possession, receipt, transportation, use, and intended disposition are lawful;
  • You will not use the product to impersonate, deceive, intimidate, or falsely claim authority;
  • You will not use the product in connection with unlawful conduct; and
  • You will provide identification, agency authorization, department letterhead, end-use information, or other documentation when reasonably requested.

Army Universe may restrict sales or shipment to particular persons, agencies, addresses, carriers, states, territories, or countries. We may cancel a transaction when we cannot verify legal eligibility or intended use.

Army Universe is a private business and is not affiliated with, sponsored by, endorsed by, or acting on behalf of any military branch, law-enforcement agency, emergency service, or government organization unless expressly stated.

15. Export Controls and Sanctions

Products, technology, and information may be subject to United States export-control and sanctions laws, including regulations administered by the U.S. Department of Commerce, U.S. Department of State, and U.S. Department of the Treasury’s Office of Foreign Assets Control.

You agree not to export, reexport, transfer, divert, release, or otherwise dispose of any item in violation of applicable law. You represent that you are not a prohibited or restricted person and that the transaction does not involve a prohibited destination, end user, or end use.

Army Universe may screen transactions, request end-user or end-use documentation, restrict delivery, apply a destination-control statement, seek licensing information, or cancel an order when export authorization may be required or a legal concern exists. International shipment availability does not constitute a representation that a product may lawfully enter or be used in the destination country.

16. Intellectual Property

The Site and its content—including text, product descriptions, photographs, graphics, designs, logos, videos, interfaces, software, code, layout, compilations, and other materials—are owned by or licensed to Army Universe and are protected by intellectual-property laws.

You may view and print reasonable portions of the Site solely for personal shopping, order records, or other lawful noncommercial use. You may not reproduce, modify, distribute, sell, license, publicly display, republish, frame, mirror, commercially exploit, or create derivative works from Site content without prior written permission from the applicable rights owner.

ARMY UNIVERSE, ARMYU, associated logos, and other marks displayed on the Site are trademarks or trade dress of Army Universe or their respective owners. No license to use any mark is granted by these Terms.

17. Reviews, Photos and Other User Content

If you submit a review, photograph, question, comment, suggestion, design, message, or other material (“User Content”), you retain ownership of your original content. You grant Army Universe a nonexclusive, worldwide, royalty-free license to host, reproduce, format, display, distribute, and use that User Content in connection with operating, improving, and promoting Army Universe and its products, subject to applicable law.

You represent that you have the right to submit the User Content and that it is truthful, based on genuine experience when presented as a review, and does not infringe another person’s rights or violate law.

Army Universe may moderate or remove content that is unlawful, fraudulent, deceptive, threatening, abusive, obscene, irrelevant, confidential, infringing, contains personal information, contains malware or spam, or otherwise violates these Terms.

Nothing in these Terms restricts your right to provide an honest review or genuine assessment of Army Universe, its products, services, or conduct. Incentives, if offered for reviews, will not be conditioned on expressing a positive or particular sentiment.

18. Copyright and Trademark Complaints

If you believe material on the Site infringes your copyright or trademark, send a written notice to info@armyuniverse.com and Army Universe, 951 Remsen Avenue, Brooklyn, NY 11236.

A copyright notice should include:

  • Your physical or electronic signature;
  • Identification of the copyrighted work claimed to have been infringed;
  • Identification and location of the allegedly infringing material;
  • Your name, address, telephone number, and email address;
  • A statement that you have a good-faith belief that the disputed use is not authorized; and
  • A statement, under penalty of perjury, that the notice is accurate and that you are the copyright owner or authorized to act for the owner.

Knowingly submitting a materially false infringement notice may result in liability under applicable law. Army Universe may remove disputed material and may terminate repeat infringers where appropriate.

19. Third-Party Applications, Services, Integrations and Links

The Site may depend on, connect with, display, or contain technology, software, applications, plug-ins, extensions, scripts, pixels, cookies, application programming interfaces, widgets, embedded content, links, advertisements, and services supplied or operated by independent third parties (“Third-Party Services”).

Third-Party Services may include, without limitation:

  • E-commerce platforms and website-hosting providers;
  • Payment processors, digital wallets, banks, fraud-screening services, and financing providers;
  • Shipping carriers, fulfillment providers, address-verification services, and package-tracking tools;
  • Product-review, ratings, loyalty, referral, and user-generated-content platforms;
  • Email, SMS, chat, customer-service, and marketing providers;
  • Analytics, advertising, retargeting, social-media, search, and conversion-measurement technologies;
  • Cookie-consent, privacy-request, cybersecurity, monitoring, and fraud-prevention tools; and
  • Other applications or services that support, connect to, or appear on the Site.

Third-Party Services are not owned or controlled by Army Universe merely because they are installed on, linked to, embedded in, or accessible through the Site. Unless expressly stated in writing, a third-party provider is an independent contractor and is not Army Universe’s employee, agent, partner, joint venturer, representative, or affiliate.

Army Universe does not make and expressly disclaims, to the maximum extent permitted by law, representations or warranties concerning the availability, continuity, accuracy, compatibility, security, privacy, accessibility, legality, content, data handling, performance, acts, omissions, products, or services of any Third-Party Service.

Third-Party Services may:

  • Become unavailable, delayed, interrupted, discontinued, compromised, or changed without notice;
  • Collect, process, store, transfer, or disclose information under their own terms and privacy practices;
  • Display inaccurate, incomplete, delayed, or third-party-generated information;
  • Cause technical errors, failed transactions, duplicate notifications, display problems, or compatibility issues; or
  • Apply separate fees, restrictions, eligibility requirements, terms, warranties, and dispute procedures.

Your direct use of a Third-Party Service may be governed by the provider’s own agreement and privacy policy. You are responsible for reviewing those terms when applicable. The presence of a Third-Party Service, link, logo, or integration does not by itself constitute Army Universe’s endorsement or guarantee.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARMY UNIVERSE WILL NOT BE LIABLE FOR LOSS, DAMAGE, DELAY, INTERRUPTION, DATA LOSS, SECURITY INCIDENT, PRIVACY EVENT, FAILED OR DUPLICATE TRANSACTION, UNAUTHORIZED ACCESS, INACCURATE INFORMATION, CONTENT, FEE, DECISION, ACT, OR OMISSION CAUSED BY OR ATTRIBUTABLE TO A THIRD-PARTY SERVICE OR PROVIDER.

If a problem arises solely from a Third-Party Service, your rights and remedies may be against that provider under its applicable terms. Army Universe may provide reasonable assistance when appropriate, but is not required to control, repair, reimburse, or resolve a third party’s service, systems, or conduct.

Nothing in this section disclaims responsibility that applicable law directly imposes on Army Universe and does not waive any right or remedy that cannot lawfully be waived. Army Universe remains responsible for its own conduct to the extent required by applicable law.

20. Privacy, Cookies and Electronic Communications

Our collection and use of personal information are described in the Army Universe Privacy Policy. The Site may use cookies, pixels, local storage, analytics, advertising technologies, and similar tools as described in that policy and any consent controls presented on the Site.

When you use the Site, place an order, or contact us electronically, you consent to receive transaction-related communications electronically. Electronic records and notices satisfy written-communication requirements to the extent permitted by law.

Marketing email and text-message consent is separate from consent to receive transactional communications and may be withdrawn as provided in the applicable message or policy.

21. SMS and Mobile Messages

If you affirmatively enroll in an Army Universe text-message program, you consent to receive recurring automated or nonautomated promotional and personalized marketing messages, which may include sales, product announcements, cart reminders, and related Army Universe offers, at the telephone number used to enroll. Consent is not a condition of purchase. Message frequency varies, and message and data rates may apply.

Reply STOP to cancel and HELP for help. You may receive a confirmation message after opting out. Carriers are not responsible for delayed or undelivered messages.

You represent that you are the subscriber or customary user of the number provided. If you transfer, deactivate, or stop using that number, you should opt out before relinquishing it and promptly notify us when appropriate.

Additional mobile-program disclosures presented during enrollment are incorporated into these Terms. If a program-specific disclosure conflicts with this section, the more specific disclosure will govern that program.

22. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ARMY UNIVERSE DISCLAIMS WARRANTIES REGARDING THE SITE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND FREEDOM FROM HARMFUL CODE.

We do not warrant that the Site will be uninterrupted, error-free, complete, current, or suitable for every purpose.

Product warranties, if any, are limited to warranties expressly provided in writing by Army Universe or the applicable manufacturer. This disclaimer does not exclude warranties or consumer rights that cannot legally be disclaimed.

23. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARMY UNIVERSE AND ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, LICENSORS, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR USE; BUSINESS INTERRUPTION; LOSS OR CORRUPTION OF INFORMATION; PRIVACY OR SECURITY EVENTS ATTRIBUTABLE TO A THIRD PARTY; OR THE COST OF SUBSTITUTE GOODS OR SERVICES ARISING FROM OR RELATED TO A VISIT TO OR USE OF THE SITE, INABILITY TO USE THE SITE, THESE TERMS, A PRODUCT OR SERVICE, OR A THIRD-PARTY SERVICE, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL CUMULATIVE LIABILITY OF ARMY UNIVERSE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE, THESE TERMS, ANY VISIT TO OR USE OF THE SITE, ANY PRODUCT, SERVICE, TRANSACTION, COMMUNICATION, OR THIRD-PARTY SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100) IN THE AGGREGATE, REGARDLESS OF THE NUMBER OF CLAIMS, TRANSACTIONS, EVENTS, USERS, OR LEGAL THEORIES ASSERTED.

Your use of the Site is voluntary and at your own risk. If you are dissatisfied with the Site, your primary remedy is to stop using it. You acknowledge that the limitations in these Terms are a reasonable allocation of risk and an essential basis on which access to the Site is provided.

These exclusions and limitations apply to all claims and legal theories, including contract, warranty, negligence, tort, strict liability, statute, restitution, and unjust enrichment, and apply even if a remedy fails of its essential purpose.

They do not apply to liability that cannot legally be limited or excluded, including liability for fraud, willful misconduct, gross negligence, or death or personal injury to the extent caused by a party and not lawfully excludable.

Some jurisdictions do not allow certain warranty exclusions or liability limitations, so some provisions may not apply to you. In that event, liability will be limited to the maximum extent permitted by applicable law.

24. Dispute Resolution, Arbitration and Class-Action Waiver

Please read this section carefully. It affects your legal rights.

A. Informal Resolution

Before starting arbitration or litigation, the complaining party must send an individual written Notice of Dispute describing the party’s name and contact information, the relevant order or account, the facts and legal basis of the dispute, and the requested relief.

The parties will attempt in good faith to resolve the dispute for 30 days after receipt of a complete notice. Any applicable limitation period will be tolled during that 30-day period to the extent permitted by law.

B. Mandatory and Exclusive Individual Arbitration

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVERY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THE SITE, THESE TERMS, ANY VISIT TO OR USE OF THE SITE, ANY ACCOUNT, COMMUNICATION, ADVERTISEMENT, PRODUCT, SERVICE, ORDER, PAYMENT, DELIVERY, RETURN, REFUND, TRANSACTION, THIRD-PARTY SERVICE, OR THE RELATIONSHIP BETWEEN YOU AND ARMY UNIVERSE MUST BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION AND NOT IN A COURT OF LAW.

This arbitration requirement applies to claims based on contract, warranty, tort, negligence, strict liability, fraud, misrepresentation, statute, regulation, equity, restitution, or any other legal or equitable theory, whether the claim arose before or after acceptance of these Terms, except to the extent applicable law expressly prohibits arbitration of a particular claim.

Arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules. If AAA is unable or unwilling to administer the arbitration, the parties will attempt to agree on another nationally recognized arbitration administrator. If they cannot agree, a court with jurisdiction may appoint an administrator or arbitrator solely for that purpose.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. The arbitrator, and not a court, will decide issues concerning the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court will decide issues concerning the class-action waiver.

Arbitration may be conducted by documents, telephone, video conference, or an in-person hearing as permitted by the AAA rules. Fees will be allocated under the applicable AAA rules, and Army Universe will pay fees it is required to pay under those rules or applicable law.

The arbitrator may award the same individual remedies that would be available in court, but only to the extent necessary to resolve the individual claim and subject to valid limitations contained in these Terms. The arbitrator may not award relief for or against anyone who is not individually participating in the arbitration.

C. Limited Court Involvement

No party may pursue an arbitrable dispute in court. Court involvement is permitted only to the limited extent necessary to:

  • Compel arbitration or stay or dismiss litigation filed in violation of this agreement;
  • Appoint an arbitration administrator or arbitrator when legally necessary;
  • Enforce, confirm, modify, or vacate an arbitration award as permitted by the Federal Arbitration Act;
  • Address whether an agreement to arbitrate was formed, when that issue must legally be decided by a court; or
  • Resolve a particular claim that applicable law expressly prohibits from being arbitrated.

The filing of a court proceeding for one of these limited purposes does not waive arbitration of the underlying dispute.

D. Class and Representative Action Waiver

YOU AND ARMY UNIVERSE AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION OR ARBITRATION.

Unless both parties agree in writing, an arbitrator may not combine claims of more than one person or preside over a class, collective, consolidated, mass, or representative proceeding.

E. Jury-Trial Waiver

TO THE EXTENT A DISPUTE PROCEEDS IN COURT, YOU AND ARMY UNIVERSE KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW.

F. Severability

If part of this arbitration section is found unenforceable, it will be severed or limited to the minimum extent necessary and the remainder will remain effective. If the class-action waiver is found unenforceable as to a particular claim or requested remedy, that claim or remedy will proceed in court after any arbitrable individual issues are resolved.

25. Governing Law and Court Venue

The Federal Arbitration Act governs Section 24. Except where federal law applies or applicable consumer law requires otherwise, these Terms and any nonarbitrable dispute are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Any court proceeding permitted under these Terms must be brought in a state or federal court located in Kings County, New York, unless applicable law requires another location. You and Army Universe consent to personal jurisdiction and venue in those courts.

26. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Army Universe and its owners, affiliates, officers, employees, and agents from third-party claims, losses, liabilities, and reasonable costs, including attorneys’ fees, arising from your unlawful conduct, your material violation of these Terms, your infringement of another person’s rights, your User Content, or your misuse of the Site or products.

Army Universe may control the defense of a covered claim, and you agree to reasonably cooperate. You may not settle a claim in a manner that imposes liability or obligations on Army Universe without our written consent.

27. Suspension and Termination

Army Universe may suspend, restrict, or terminate access to the Site or an account when we reasonably believe these Terms have been violated, a transaction is fraudulent or unlawful, an account creates risk or liability, or suspension is necessary to protect customers, Army Universe, or another party.

Termination does not eliminate obligations incurred before termination. Provisions that by their nature should survive—including payment obligations, intellectual-property provisions, warranty disclaimers, liability limitations, indemnification, and dispute-resolution provisions—will survive.

28. Force Majeure

Army Universe will not be liable for delay or failure caused by events beyond its reasonable control, including natural disasters, severe weather, fire, flood, epidemic, pandemic, war, terrorism, civil disorder, labor disruption, transportation delay, carrier failure, freight embargo, supply shortage, utility failure, network outage, cyberattack, government action, customs delay, or changes in law.

This section does not excuse payment or refund obligations that cannot legally be avoided.

29. Changes to the Site or These Terms

We may modify, suspend, or discontinue all or part of the Site. We may also update these Terms from time to time.

The “Last Updated” date identifies the current version. Material changes will apply prospectively after posting or other reasonable notice, except changes required by law, security-related changes, or changes that benefit users may take effect immediately. Your continued use of the Site after updated Terms become effective constitutes acceptance of the updated Terms.

30. General Provisions

Entire Agreement: These Terms and incorporated policies constitute the entire agreement between you and Army Universe regarding the Site and direct purchases, except for a separate written agreement signed or expressly accepted by Army Universe.

Severability: If a provision is held invalid or unenforceable, it will be limited or modified to the minimum extent necessary, and the remaining provisions will continue in effect.

No Waiver: A failure to enforce a provision is not a waiver of the right to enforce it later.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our written consent. Army Universe may assign these Terms in connection with a merger, reorganization, sale, transfer of assets, financing, or operation of its business.

No Third-Party Beneficiaries: Except as expressly stated, these Terms do not create rights for third parties.

Headings: Headings are for convenience and do not limit the provisions they introduce.

Interpretation: “Including” means “including without limitation.” Electronic and singular terms include their applicable equivalents where the context permits.
